Today I am submitting to you certain program material, the title and/or theme of which is indicated above (which material is hereinafter referred to as the "program material"), upon the following express understanding and conditions:-

1. I acknowledge that I have requested permission to disclose to you and carry on certain discussions and negotiations with you in connection with such program material.

2. I agree that I am voluntarily disclosing such program material to you at my request. I understand that you shall have no obligation to me in any respect whatsoever with regard to such material until each of us has executed a written agreement which, by its terms and provisions,
will be the only contract between us.

3. I agree that any discussion we may have with respect to such program material shall not constitute any agreement expressed or implied as implied as to the purchase or use of any such program material which I am hereby disclosing to you either orally or in writing.

4. In the event that you have an independent legal right to use such material which is not derived from me, either because such material submitted hereunder is not new or novel, or was not originated by me, or has not been reduced to concrete form, or because other persons including your employees have submitted similar or identical material which you have the right to use, then I agree that you shall not be obligated in any respect whatsoever to compensate me for such use by your.

for your consideration:

I realize that you (and your staff) are in the production of motion picture and/or television programs and, as such, are likewise engaged in the search for material and literary properties and the development of ideas, stories and suggestions for exploitation in any and all entertainment media which said production necessitates.

Such material, ideas or suggestions may relate to format, theme, characterizations, treatments and/or means of exploiting a production based on such ideas and suggestions once completed.

As a result, I recognize that you will not discuss ideas, scripts, treatments, formats or the like submitted to you by persons not in your employ without first obtaining the agreement of the person submitting same to the provisons of this letter.

I hereby acknowledge and agree as follow:

a. I warrant that I am the sole owner and author of the above described material and that I have the full right and authorization to submit the material to you.

b. I agree that any part of the submitted material which is not novel or original and not legally protected may be used by you without any liability on your part to me and that nothing herein shall place you in any different position with respect to such non-novel or non-original material by reason hereof.

c. You shall not be under any obligation to me with respect to the submitted material except as may later be set forth in a fully executed written agreement between us.

d. I realize that you may have had access to and/or may have independently created or have had created ideas, themes, formats and/or other materials which may be similar or identical to the theme, plot, idea, format or other element of the material now being submitted by me and I agree that I will not be entitled to any compensation by reason of the use by you of such similar or identical material.
